Mr. Robert Divine, Attorney and Shareholder, Baker Donelson

Mr. Robert C. Divine, leader of the Firm's Immigration practice group and a shareholder who works from the Firm's Washington, D.C., and Chattanooga offices, concentrates his practice in business immigration and litigation. By presidential appointment, Mr. Divine served in Washington, D.C., from July 2004 until November 2006 as Chief Counsel of United States Citizenship and Immigration Services (USCIS), the world's largest immigration services agency within the U.S. Department of Homeland Security. From July 2005 until July 2006, he served as Acting Director and then Acting Deputy Director of USCIS.. Mr. Divine represents many business developers in creating, managing and using "Regional Centers" that can create indirect jobs toward the 10 new U.S. jobs whose creation can give rise to EB-5 permanent residence for investment in the developers' projects. He was elected Vice President of the national industry association of "EB-5" Regional Centers, Association to Invest in USA (IIUSA). He represents developers similarly using other parties' Regional Centers. He coordinates this work with attorneys supporting securities law compliance in offerings to investors, with economists identifying "targeted employment areas" and projecting indirect job creation, with licensed securities brokers coordinating offerings, and with attorneys obtaining U.S. Government (OFAC) licenses to serve investors from restricted countries (Iran). He also represents individual investors in obtaining conditional permanent residence and in removing conditions from permanent residence. Mr. Livingston is the Chairman and Chief Executive Officer of CommerCenters, LLC, a real estate investment and development firm headquartered in Orlando, Florida. Mr. Livingston is one of the major catalysts behind industrial development in Central Florida. Mr. Livingston was a founder of, and is also a principal in NAI Realvest, a major commercial brokerage firm in Central Florida. Mr. Livingston has been awarded the prestigious 2009 Wilbur Strickland Lifetime Achievement Award by the Central Florida Commercial Association of Realtors. The Orlando Business Journal selected him as the 2009 Most Influential Businessman in Commercial Real Estate. Mr. Livingston has lived and worked abroad for eight years. He is a member of FIABCI (International Real Estate Federation) and is a Certified International Property Specialist (CIPS) and a charter member of the Orlando TiE Chapter. Mr. Livingston has led the development of more than 880,000 square feet of industrial space over the past ten years, both with investment partners and as a fee developer. His company Realvest Development has been retained as a fee developer to develop another 300,000 square feet of industrial space. NAI Realvest currently manages seven projects for investment partners, which are anticipated to represent another 1.2 million square feet of commercial space upon completion. Mr. Ronald Fieldstone, Attorney & Partner, Arnstein & Lehr LLP

Mr. Fieldstone is a member of the Real Property, Probate and Trust and the Tax Law Sections of The Florida Bar. He served as a panel member of the American Arbitration Association for 17 years and is a title agent of several title insurance companies. Mr. Fieldstone has published numerous articles and has been a lecturer in the fields of real estate, corporate, tax and franchise law for the past 30 years. He practices in the areas of real estate, corporate and taxation, with a specific emphasis on the corporate and tax planning of complex real estate transactions. Ms. Jo Ann Clarke has more than 30 years of progressively responsible experience in business management and marketing.   Her early career was with New York area Fortune 500 companies/major - Consumer Packaged Goods manufacturers (such as Standard Brands, Sterling Drug, Lehn & Fink, Becton Dickinson Consumer Products and the Shulton Division of American Cyanamid).   These firms provided her with substantial training and experience in marketing techniques, market planning, written business communications, and structured management approaches and requirements. Dr. Scott W. Barnhart, Associate Professor of Finance at Florida Atlantic University and Founder, Barnhart Economic Services, LLC.
